TERMS OF SERVICE

This Terms and Condition constitute a legally binding agreement made between T3 Corporation (“Ccmpany”, “we”, “us”, “our”) and you, whether personally or on behalf of an entity (“user”, “you”), regarding the use of our website (“Website”) and all services related or associated thereto (hereinafter collectively referred to as “TableEx”).
Scope of Application
These terms apply to the use of our services by users. If there are additional terms set by us, they will be applied in conjunction with these terms. In the event of any inconsistency between these terms and the additional terms, the latter will take precedence. Amendments
License to Use
We grant users a non-exclusive, non-transferable, and non-sublicensable license to use the text, images, audio, video, source code, and other content (hereinafter referred to as "Content") included in our Website, within the scope necessary for using TableEx.
User Registration
Individuals wishing to use our services (hereinafter referred to as "Applicants" in this article) must apply using the method specified by us. An applicant becomes a user once we express our acceptance of their application, unless a different time is specified by us. We may refuse registration in the following cases:
• The applicant has previously violated these terms and faced penalties.
• The applicant is engaged in a business identical or similar to ours.
• The applicant provided false information during registration.
• The applicant is or may be part of an anti-social force as defined in these terms.
• Any other reason we deem inappropriate.
Minors, persons under guardianship, or those with legal assistants must obtain valid consent from their legal guardian or assistant before registering for our services.
User Information Management
Users are responsible for managing:
• The authentication information provided by us for using the service.
• The authentication information of any external account linked to our service.
In case of loss or leakage of this information, users must promptly notify us and follow our instructions.
Authentication
We will consider a user to be authenticated and using our service once they input the authentication information provided by us or authenticate through a linked external account. Except in cases of our intentional misconduct or gross negligence, we are not liable for any damages caused to the user due to this authentication.
Withdrawal
Users wishing to withdraw from our services must notify us using the method specified by us. The user will be considered to have withdrawn from our services at the end of the month in which we receive the notification. Upon withdrawal, users must properly delete any software provided by us related to the service. If withdrawal occurs mid-month due to unavoidable circumstances, the user can withdraw upon completing the payment for that month.
Suspension & Expulsion
We can suspend or expel a user immediately if:
• It becomes clear that a minor or someone under guardianship did not obtain valid consent during registration.
• The user meets any of the registration refusal criteria.
• The user has been declared bankrupt or has filed for bankruptcy.
• The user fails to complete payment for our services by the due date.
• Any other reason we deem inappropriate.
Dress Code Policy
Adherence to Dress Code:
If a restaurant you've booked through our website enforces a dress code, you are obligated to comply with such requirements. Details of the dress code will be provided on the restaurant's profile page on our website or in your booking confirmation email.
Responsibility:
It is the responsibility of the users to review and adhere to the dress code of the restaurant. Failure to comply may result in the restaurant refusing entry or service.
Exceptions:
If you have specific reasons or circumstances that prevent you from adhering to the dress code (e.g., religious or medical reasons), it is advisable to contact the restaurant in advance to discuss potential accommodations.
No Show Policy
Definition of "No Show":
If you do not arrive at the reserved restaurant and fail to cancel the reservation in accordance with our cancellation policy, it will be considered a "No Show."
Consequences:
"No Show" incidents may result in penalties, including but not limited to:
• Forfeiture of any deposit or pre-payment made for the reservation.
• Restrictions or suspensions from making future reservations through our website.
• Restrictions or suspensions from making future reservations through our website.
Cancellation:
To avoid a "No Show" status, you must cancel your reservations in line with our cancellation policy. Details of this policy can be found on our website and in your booking confirmation email.
Notification:
If unforeseen circumstances prevent you from attending your reservation, we recommend notifying the restaurant directly as soon as possible, even if it falls outside of the cancellation window. While this may not prevent penalties, it fosters goodwill and may be taken into consideration for future bookings.

How to Cancel:
If you wish to cancel your restaurant reservation, please notify us through our website. Reservation Fee:
Please be aware that the reservation fee is non-refundable under any circumstances.
Refund Policy:
Until 14 days prior to the booking date:
You'll receive a refund of 100% of the total cost, excluding the reservation fee.
From 14 to 8 days prior to the booking date:
You'll receive a refund of 50% of the total cost, excluding the reservation fee.
From 7 to 3 days prior to the booking date:
You'll receive a refund of 30% of the total cost, excluding the reservation fee.
Less than 48 hours before the booking time:
No refund will be provided.
Prohibited Actions
Users must not engage in the following actions. If we determine such actions have occurred or are likely to occur, we may suspend or expel the user. Except in cases of our intentional misconduct or gross negligence, we are not liable for any damages caused by these actions:
• Engaging in actions that:
• Violate laws or regulations.
• Go against public order and morals.
• Breach these terms and conditions.
• Actions that infringe on a third party's intellectual property rights or trade secrets, or actions that risk such infringement.
• Impersonating another individual or registering false information.
• Excessive actions such as:
• Repeatedly making the same inquiries.
• Sending spam or a large volume of messages.
• Making prolonged or excessive phone calls.
• Forcing unnecessary obligations on others.
• Any action that disrupts our smooth business operations.
• Failing to make payments or neglecting financial obligations.
• Defaming or tarnishing the reputation of a specific individual, organization, or corporation.
• Sending malicious software or similar items to us or a third party.
• Intentionally overloading our servers.
• Using crawling or scraping to gather information from our service.
• Analyzing source code through methods like reverse engineering, decompiling, or disassembling.
• Actions similar to the above, or aiding and abetting any of the aforementioned actions.
• Any other actions we deem inappropriate.
Intellectual Property Rights
All rights related to the Content belong to us. The use of our services or the licensing of the Content to users under these terms does not change the ownership of the Content or imply any transfer of rights.
You retain any intellectual property rights in any content you contribute to this Website. To ths fullest extent permitted under applicable law, you agree to grant us a non-exclusive, royalty-free license to exercise your intelectual property rights in your content to the extent we use it in connnectuion of TableEx.
Amendment
We reserve the right to modify these terms at any time if:
• The changes align with the general interests of the users.
• The changes do not contradict the purpose of our services and the necessity and fairness of the changes are recognized.
In such cases, we will announce:
• The intention to modify the terms.
• The content of the modified terms.
• The effective date of the changes.
All announcements will be made on our website.
Notifications
When we contact or notify users at the contact details they have provided, the communication is deemed to have been received at the time it should normally have arrived, regardless of whether the user actually received it or not. We are not responsible for any damages caused to the user due to non-receipt or delay of our communications.
Service Interruption
We may temporarily suspend our services in the following situations. In urgent or unavoidable cases, we may do so without prior notice to users:
• Maintenance, repair, or upkeep of systems essential for our service, or if an external system essential for our service stops.
• Events like fires, power outages, major communication failures, wars, civil unrest, or other situations making the provision of our services impossible or significantly difficult.
• Legal changes or actions by administrative or judicial authorities that necessitate a temporary suspension of our services.
• Addressing security vulnerabilities that can't be managed with regular maintenance.
• System upgrades aimed at maintaining or improving the quality of our services.
• Any other situation where we deem a temporary suspension necessary.
Service Termination
We may terminate our services after notifying users if we determine that continuous provision is difficult, if we decide that termination is necessary for operational reasons, or if other unavoidable circumstances arise. In unavoidable cases, we may terminate the service without notifying users.
NO WARRANTY
ALL SERVICES AVAILABLE ON THIS WEBSITE OR PROVIDED BY US ARE OFFERED "AS IS" UNLESS OTHERWISE SPECIFIED IN WRITING. TO THE MAXIMUM EXTENT PERMITTED BY LAW, AND UNLESS EXPRESSLY STATED OTHERWISE, WE MAKE NO WARRANTIES REGARDING:
• THE SUITABILITY OF OUR SERVICE FOR THE USER'S SPECIFIC PURPOSES.
• THE ABILITY OF OUR SERVICE TO MEET THE USER'S EXPECTATIONS IN TERMS OF FUNCTIONALITY, USEFULNESS, QUALITY, STANDARDS, OR VALUE.
• THE COMPLIANCE OF OUR SERVICE WITH APPLICABLE LAWS AND REGULATIONS, OR ITS NON-INFRINGEMENT.
• THE ABSENCE OF ERRORS, BUGS, SECURITY VULNERABILITIES, OR OTHER ISSUES IN OUR SERVICE.THE RELIABILITY, ACCURACY, COMPLETENESS, EFFECTIVENESS, AND AVAILABILITY OF OUR SERVICE.
LIABILITY EXEMPTION
EXCEPT IN CASES OF OUR INTENTIONAL MISCONDUCT OR GROSS NEGLIGENCE, WE ARE NOT LIABLE FOR ANY DAMAGES ARISING FROM THE PROVISION OF OUR SERVICES OR ANY ACTIONS TAKEN BY US UNDER THIS TERMS AND CONDITIONS.
NOTWITHSTANDING THE ABOVE, IF THE PROVISION OF OUR SERVICE FALLS UNDER A CONSUMER CONTRACT AS DEFINED BY THE CONSUMER CONTRACT ACT OF JAPAN, WE WILL BE LIABLE FOR ANY DAMAGES CAUSED TO THE USER DUE TO OUR NEGLIGENCE (EXCEPT IN CASES OF INTENTIONAL OR GROSS NEGLIGENCE). IN SUCH CASES, OUR LIABILITY WILL BE LIMITED TO DIRECT AND ORDINARY DAMAGES, CAPPED AT THE AMOUNT EQUIVALENT TO SIX MONTHS OF THE SERVICE FEES WE RECEIVED FROM THE SAID USER.
Force Majeure
We are not liable for any delays or failures in performance caused by events beyond our control, such as natural disasters, wars, civil unrest, strikes, legal changes, major communication failures, disease outbreaks, hyperinflation, and other similar events.
Transfer of Rights and Obligations
You may not transfer, inherit, or otherwise dispose of your contractual status or any rights and obligations arising from their contract with us, unless you have our explicit consent.
Transfer of Rights and Obligations by the Company
We reserve the right to transfer our contractual position and any rights and obligations arising from our contract with users, without needing their consent, in the event of a business transfer or organizational restructuring.
Late Payment Penalty
If a user delays any monetary payments to us, such user will be subject to an annual penalty of 14.7%.
Exclusion of Anti-Social Forces
User must assure us of the following. If you breach any of these, we can terminate all contractual relationships immediately without any liability, and such user must compensate us for any damages incurred:
• You are not, and will not be in the future, associated with organized crime groups or any similar entities (hereafter referred to as "anti-social forces").
• You have no business relationships where anti-social forces control or substantially influence their operations.
• You will not engage in or support acts like threats, violence, undue demands, business interference using deceit or force, or any actions that tarnish our reputation.
Severability
If any provisions or portion thereof of this Terms and Conditions is held to be unenforceable or invalid, the remaining provisions and portions thereof shall nevertheless be given full force and effect.
Good Faith Discussions
For matters not specified in this agreement or any ambiguities arising from it, both we and the users will engage in sincere discussions to resolve them. In unavoidable circumstances, the primary court of jurisdiction will be the district court located where our main business office is situated.
Governing Law
You agree that applicable law of Japan, without regard to principals of conflict of laws, will govern this Terms and Conditions, the relationship between you and is, your use of this Website and the provision of TableEx .
